    James A. Ullman has more than 35 years of experience as an attorney and focuses his practice on franchise and intellectual property law. He represents clients in all aspects of franchise and distribution law, including franchising, franchise avoidance, franchise regulation, business opportunities, licensing and distributorship arrangements. Mr. Ullman has held leadership roles in several education organizations and public boards and has been listed as one of the Best Lawyers in America for 14 consecutive years.     Jeff Wolf's national franchise practice focuses on representing franchisors and manufacturers, and marketers of products and services. He works closely with in-house counsel and upper management on a variety of legal issues, including the development of franchise systems and relations, product distribution and pricing strategies, regulatory compliance, employment matters, dispute resolution and litigation, and day-to-day business counseling. Mr. Wolf has appeared as lead counsel in state and federal courts throughout the United States. Over the course of his 22 year career, he has handled numerous jury and bench trials and arbitrations, as well as appeals, in matters involving franchise and distribution, licensing, technology, trademark, unfair competition, employment and general business disputes.     Daniel B. Warshawsky's practice primarily focuses on franchise and distribution law as well as the regulation of financial institutions. He represents clients in all aspects of franchise and distribution law, including franchising, franchise avoidance, business opportunities, licensing and distributorship arrangements. Mr. Warshawsky has a great deal of experience with structuring new franchise systems and preparing the necessary documentation. He has invested a considerable amount of time and energy in developing high quality franchise documents that provide maximum flexibility and protection for the franchisor, yet are user-friendly and “marketable” to franchisees. Mr. Warshawsky has assisted several US-based franchisors expand their franchise systems internationally, including analyzing the foreign legal regulatory environment, preparing the international franchising documentation, negotiating with foreign franchisees/master franchisees and working with local counsel when necessary. He has also assisted numerous clients “convert” from unlawful licensing systems to compliant franchise systems, including the negotiation and settlement of “illegal franchise” claims raised by regulators in connection with state investigations.


    Alex Schlempp, Managing Partner, AntiGravity, Inc.

    Alex is a graduate of The Juilliard School who enjoyed a dance career that spanned over 15 years. He studied Business Administration and Economics at the University Augsburg in Germany. Upon retiring from his dance career, Alex joined the renowned Broadway general management and production firm Soloway/Levy Productions Inc. to work on both Broadway and Off-Broadway productions. Some of those shows included Dame Edna: The Royal Tour, The Beauty Queen of Leenane, and Waiting in the Wings, starring Lauren Bacall. In 2000 Alex joined AntiGravity's executive team as Managing Partner. His multicultural background brings to AntiGravity a strong understanding and knowledge of international audiences, understanding the necessities of artistic innovation, novelty combined with fiscal accountability. Alex’s fluency and/or understanding of English, German, Italian, French, Spanish and Portuguese have enabled him to understand cultural sensitivities in various international markets.     Jeffrey Frankel, Chief Legal Officer, Massage Envy  

    Jeffrey Frankel has served as the Chief Legal Officer of Massage Envy Limited, LLC, a franchisor of over 800 massage clinics throughout the United States, since joining the Company in January, 2006. He held the same position with DLC Dermacare LLC, a franchisor of skin care clinics from May through November, 2005 and with MedAire, Inc., a global emergency medical assistance company, from April, 2003 to December, 2004. From 1999 through 2001 he served as V.P., Corporate Counsel and Secretary of Integrated Information Systems, Inc., an Internet professional services company. Previously, he held various positions from 1987 to 1999 at MicroAge, Inc., a global information technology integrator, including V.P. and Corporate Counsel and V.P. and Managing Director of MicroAge’s international division. Mr. Frankel received his M.B.A. from Keller Graduate School of Business in Phoenix, his J.D. from St. Louis University School of Law, and a B.A. in Political Science from Colby College.
